This Privacy Policy describes how Overclock Labs Inc. and its affiliates ("Akash," "we," "our," or "us") may collect, use, and disclose personal information about you. This Privacy Policy applies to information collected when you interact with the website located at http://akashml.com/ (the "Website") and the application interface located at http://playground.akashml.com/ and all related components (the "Platform," or "AkashML"), services provided by Akash described below, including without limitation our generative AI services for image generation, text-to-speech, voice cloning, and audio transcription, and such other services, software, applications, features, or products provided by Akash from time to time (together with the Platform, the "Services"). If you use voice cloning, voice library, or text-to-speech features, you also agree to and are bound by our Biometric Data Notice and Consent, available at akashml.com/biometric-notice. Capitalized terms not defined but otherwise used herein shall have the meaning ascribed to them in our Terms of Service.

Please read this Privacy Policy carefully so you understand our policies and practices regarding your information. If you do not agree with our policies and practices, your choice is not to interact with the Services. By accessing or using the Services you agree to this Privacy Policy and our Terms of Service. 1. Information We Collect

Depending on how you interact with the Services, we may collect information about you like:

  • Information You Provide. You provide us with information when, for instance, you interact with the Services, sign up for an account, or communicate with us by email.
  • Information Collected Automatically. We automatically collect information about your interactions with the Services when you view or click content posted on the Services.

In connection with using or accessing the Services, we may collect the following categories of information:

  • Profile Content. Your email address, name, preferences, and username.
  • Information we receive from authentication services you connect to our Service. Some parts of our Services may allow you to login through a third party authentication service such as Google, Auth0, or other Third-Party Services. These Third-Party Services will authenticate your identity and may provide you the option to share certain personal data with us, which could include your name, email address, address book and contacts, or other information. The data we receive is dependent on each Third-Party Service's policies and your privacy settings on that third-party site. We use this information to operate, maintain, and provide to you the features and functionality of the Services. We may also send you Services-related emails or messages (e.g., account verification, purchase confirmation, customer support, changes, or updates to features of the Services, technical and security notices).
  • Payment Information. Payment information, such as credit or debit card information and billing address, which is collected by a third party payment processor, currently Stripe. We use this information where necessary to perform our contract with you to process your payment and provide the Services.
  • Compliance Data. In order to access certain of the Services, we may collect information you provide us such as your name, email address, mailing address, telephone number, or other personal information.
  • Communication Information. Information about communications you submit to us.
  • Device Data. Device type, software and hardware details, browser type and version, operating system, IP address (internet address of your computer), location information, unique device identifiers, and mobile device ID.
  • Log and Usage Data. We may collect information about your activity on the Services, such as inferences of your usage, content viewed, pages visited, and links clicked.
  • Third Party Connections and Integrations. If you access the Services through a third party connection or login, you allow us to have access to and store certain information from such third party, depending on your settings on that third party service. Please see the privacy policies and terms for these third parties for more information.
  • Information Collected Through Tracking Technologies. Like many websites, we may use cookies and similar technologies to collect additional website usage data and to operate our business. For more information about how we use these technologies, please see the Cookies and Similar Technologies section below.
  • Generative AI Inputs and Outputs. When you use our generative AI features, we process the inputs you provide (such as text prompts, source images for image editing, audio files for transcription, and reference text for text-to-speech generation) and the outputs the Services generate in response. Except as expressly stated in this Privacy Policy, we do not retain prompts or transient inputs after the request has been processed; however, certain inputs you affirmatively choose to save (such as voices you upload to your voice library) are stored as described below. Outputs you affirmatively save to your User Account are retained until you delete them or your User Account is closed.
  • Voice Data and Voiceprints (Biometric Information). If you use our voice cloning or voice library features, we collect and store the audio recordings you upload ("Voice Samples") and the mathematical representations or models derived from those recordings used to synthesize speech ("Voiceprints"). Voice Samples and Voiceprints constitute biometric identifiers and biometric information under certain laws, including the Illinois Biometric Information Privacy Act (740 ILCS 14, "BIPA"), the Texas Capture or Use of Biometric Identifier Act, the Washington Biometric Privacy Act, and "sensitive personal information" under the California Consumer Privacy Act/California Privacy Rights Act ("CCPA/CPRA"), and "special category data" under the EU and UK General Data Protection Regulation ("GDPR"). We collect Voice Samples and Voiceprints only with your express, informed consent at the point of collection. Our retention and destruction practices for Voice Samples and Voiceprints are described in Section 13 below.
  • User-Uploaded Images. If you use our image generation or image editing features, we process the source images, masks, and reference images you upload. We retain these for the limited duration necessary to process your request and to provide Outputs to you, except where you affirmatively save them to your User Account.
  • Other Information. Any other information that you choose to provide or that we request.
  • Marketing and Communications Data. Your preferences in receiving marketing from us and your communication preferences.

Information you share with us will be transmitted using industry-standard encryption in transit (TLS) and stored using industry-standard encryption methods at rest, with additional access controls applied at the database layer. Voice Samples and Voiceprints are encrypted in transit and at rest, stored in access-controlled storage segregated from other user data, and accessible only to authorized personnel and systems with a documented operational need. As discussed in our Terms of Service, the Services are hosted on the Akash Network, a decentralized compute network operated by third-party node operators. The third-party AI models available through the Services are hosted by the third-party compute providers that participate in the Akash Network. For voice cloning, text-to-speech, image generation, and transcription features, inference may be performed on infrastructure operated by such third-party providers; in all cases, Voice Samples and Voiceprints are processed in encrypted form and providers are contractually prohibited from retaining or repurposing such data.

We may aggregate or de-identify information so that it can no longer identify you, as defined under applicable laws. We may use and/or disclose aggregated or de-identified information for any purpose unless an applicable law says otherwise. We do not aggregate or use Voiceprints or biometric data for any purpose other than providing the voice features you have requested and our limited legitimate operational purposes (security, fraud prevention, abuse detection, and compliance with legal obligations).

Except as described in this Privacy Policy, we do not retain text prompts or transient API inputs you submit to third-party AI models available through the Services after the request has been processed. If a request fails, inputs may be logged briefly by a third-party logging system we use to troubleshoot errors and are deleted in accordance with our retention schedule. The foregoing does not apply to (i) Voice Samples and Voiceprints you affirmatively save to your voice library, which are retained as described in Section 13; (ii) Outputs (including generated images, synthesized audio, and transcripts) that you affirmatively save to your User Account; (iii) content you submit to us for content moderation review; or (iv) any data we are required to retain to comply with legal obligations or to investigate suspected violations of our Terms of Service.

Sensitive and Special Category Data. Some information you may choose to input into the Services may be considered "special," "sensitive," or otherwise heightened under applicable law, including information concerning race or ethnicity, religious or philosophical beliefs, sex life, sexual orientation, political opinions, trade union membership, health, genetic and biometric data, or precise geolocation. With respect to biometric data specifically (including Voice Samples and Voiceprints), we collect, use, store, and disclose such data only with your separate, express, informed, written consent, and only for the specific purposes disclosed to you at the point of collection. Where applicable, our biometric data practices are further governed by our Biometric Data Notice and Consent available at akashml.com/biometric-notice. You may withdraw consent and request deletion of your Voice Samples and Voiceprints at any time as described in Section 7 (Your Choices).

2. How We Use Your Information

We use the information we collect in connection with what we consider our Everyday Business Activities, which may include using your information to:

  • Operate and Provide the Services. We may use the information we collect to provide and operate the Services like contacting you about technical notices or security alerts and personalizing your user experience. Specifically, when you use the third-party AI models available through the Services, you are sharing prompts and/or API inputs with the provider of the third-party AI models that you interact with through the Services. When you use voice cloning or text-to-speech features, we use your Voice Samples to generate Voiceprints and to synthesize speech outputs at your direction. When you use image generation or editing features, we use your uploaded images and prompts to generate the requested Outputs. When you use transcription features, we process the audio you provide to produce transcripts.
  • Monitor and Improve the Services. We may use the information we collect to analyze the effectiveness of the Services, review use of the Services, and improve the Services. We do not use Voice Samples, Voiceprints, user-uploaded images, prompts, generated Outputs, or other User Content to train, fine-tune, or improve any AI model, whether our own or any third party's.
  • Conduct Research. We may use information you share with us or that we collect to conduct research, product testing, and troubleshooting to help us operate and improve the Services. The no-training commitment in the preceding bullet applies equally to research and product testing.
  • Communicate with you about the Services. We may use information we collect about you to communicate with you about the Services like offers, promotions, and providing other news and information we think will be of interest to you.
  • Facilitate a Corporate Transaction. We may use the information we collect during negotiations or in connection with the sale of part or all of our assets, the acquisition of part or all of another business or the businesses' assets, or another transaction including but not limited to financing or bankruptcy.
  • Foster Safety and Security. We use the information we collect to provide for the safety and security of our users and the Services. This includes detecting and preventing against malicious, deceptive, fraudulent, or illegal activities, improving our security, exercising our legal rights, in compliance with any applicable law, and as permitted by law. With respect to generative AI features, we may use automated systems and limited human review (under confidentiality and access controls) to detect Outputs and inputs that may violate our Terms of Service or applicable law, including, without limitation, child sexual abuse material ("CSAM"), non-consensual intimate imagery, content depicting real persons without their consent, and content created for fraud or impersonation. Where required by law, we report CSAM to the National Center for Missing & Exploited Children (NCMEC) pursuant to 18 U.S.C. § 2258A.

Specific Purpose Limitation for Biometric Data. We use Voice Samples and Voiceprints solely to (i) provide the voice cloning, text-to-speech, transcription, and related features you have requested, (ii) maintain the security and integrity of those features (including detecting unauthorized use), (iii) comply with our legal obligations, and (iv) defend or pursue legal claims. We do not sell biometric data, share biometric data with third parties for their independent use, use biometric data for advertising or profiling, or use biometric data to train AI models.

3. Third-Party Services

The Services may contain links to third-party sites, materials, and/or services ("Third-Party Service(s)") that are not owned or controlled by us, and certain functionalities of the service may require your use of Third-Party Services. If you use a Third-Party Service in connection with the service, you are subject to and agree to, and must comply with, the third party's terms and conditions made available via, or agreed in connection with, its services. We do not endorse or assume any responsibility for any Third-Party Services. If you access a Third-Party Service from the service or share your User Content on or through any Third-Party Service, you do so at your own risk, and you understand that these terms and our privacy notice do not apply to your use of any third-party service. You expressly relieve us from any and all liability arising from your access to and/or use of any Third-Party Service.

4. Sharing Information

You should know the ways we share your information and why we share your information. In connection with our Everyday Business Activities, we may share information collected from or about you in the following circumstances:

  • Service Providers. We may share your information with providers of Third-Party Services that perform functions or provide services on our behalf such as our business, professional, or technical support providers that help us with our business and the Services and/or administer activities in connection with the Services and our business. Each service provider is engaged under contractual terms requiring confidentiality and limiting use of your information to the purposes for which it is shared.
  • Comply with Laws and Protect our Rights. We may share your information as we believe to be necessary or appropriate to: comply with applicable law and legal processes; respond to requests from public and government authorities including authorities outside your country of residence; protect our rights, privacy, safety, or property, and/or that of our affiliates, you, or others; and allow us to pursue available remedies or limit the damages that we may sustain. Without limitation, we may report content depicting suspected child sexual abuse to NCMEC and to law enforcement as required by 18 U.S.C. § 2258A and may preserve associated user data for the period required by law.
  • Investors and Acquirers. We may transfer your information to advisors, investors, potential transactional partners, or other third parties in connection with the initial actions or engagement of a merger, acquisition, sale of some or all of our stock or assets, change in control, financing, bankruptcy, or similar transaction.
  • With Your Consent or at Your Direction. We may share your information with third parties when you direct us to do so or if you have consented to additional sharing of your information.

Biometric Data — Limited Disclosure. Notwithstanding the foregoing, we do not disclose, redisclose, sell, lease, or otherwise disseminate your Voice Samples or Voiceprints except: (i) to our processors strictly to provide the voice features you have requested, under contract terms imposing equivalent protections; (ii) where the disclosure is required by valid legal process (such as a subpoena or court order); (iii) where the disclosure is necessary to complete a financial transaction you initiated or to comply with a warrant or court order; or (iv) with your separate, written consent. We do not sell biometric data.

5. Cookies and Similar Technologies

Like most other online services, we use cookies and similar technologies to collect some of the data discussed in this Privacy Policy. These help us provide certain features to you and analyze usage information. The Your Choices section below provides additional information about our use of cookies and similar technologies and your ability to manage cookies.

Our uses of cookies and similar technologies fall into the following general categories:

  • Essential. We may use cookies, web beacons, or other similar technologies necessary to provide the Services.
  • Performance. We may use cookies, web beacons, or other similar technologies to assess the performance of the Services.
  • Functionality. We may use cookies, web beacons, or other similar technologies that allow us to offer you enhanced functionality when accessing or using the Services.

6. Analytics and Advertising

We use Google Analytics (provided by Google LLC) to collect information about how visitors use our website. Google Analytics uses cookies to collect data such as pages visited, time spent on site, browser type, and approximate geographic location. This data is processed by Google and helps us understand usage patterns and improve the Services. Google Analytics data is only collected after you provide consent via the cookie banner on our site. Google Analytics is not used in connection with our voice cloning, text-to-speech, image generation, or transcription features, and no Voice Samples, Voiceprints, prompts, or generated outputs are shared with Google Analytics or any other analytics provider.

7. Your Choices

You may have certain choices about how to protect and limit the collection, use, and sharing of information about you including:

A. Opt-out of Marketing Communications

You may opt-out of receiving marketing communications from us by following the instructions in those communications.

B. Opt-out of Cookies and Tracking Technologies

You can often adjust your browser setting to remove or reject browser cookies.

C. Advertising Industry Opt-Out Tools

You can also use opt-out options to limit use of your information for interest-based advertising by participating companies.

D. Email

We offer a variety of commercial emails and email newsletters. You can unsubscribe from them by following the instructions included in the email.

E. Other Rights and Choices

Where required by applicable law and depending on your jurisdiction, you may have access to certain rights, including the right to access, review, port, delete, or block or withdraw consent to the processing of certain personal information. To exercise any of these rights, email us at [email protected].

F. Voice Data and Biometric Information — Specific Choices

With respect to Voice Samples and Voiceprints specifically, you may at any time:

  • Review and download. View and download the Voice Samples and Voiceprints you have uploaded through your account voice library settings.
  • Delete. Delete any Voice Sample or Voiceprint at any time through your account voice library settings, or by emailing [email protected]. Deletion requests will be processed within thirty (30) days, and Voice Samples and Voiceprints (and all backup copies) will be permanently destroyed within that period.
  • Withdraw consent. Withdraw your consent to our collection, storage, and use of biometric data, which will result in deletion of all of your Voice Samples and Voiceprints and your inability to use voice cloning features going forward.
  • Notify us of consent expiration or revocation. If you have uploaded a Voice Sample of any person other than yourself, you must notify us within five (5) business days if (i) the consent you obtained from that person expires by its terms, or (ii) the person withdraws or revokes their consent. Notify us at [email protected]. Upon such notification — or if the person whose voice has been uploaded contacts us directly to assert withdrawal of consent — we will delete the affected Voice Sample and Voiceprint within thirty (30) days. Failure to notify us is a breach of your obligations under our Terms of Service.

8. International Transfers

Your personal information may be transferred to, processed and stored in countries other than the country in which you are resident. If you are located outside of the United States, your information is collected in your country and may be transferred to another country in which we (or our affiliates or service providers) operate. If we transfer your data out of the European Economic Area ("E.E.A."), we implement at least one of the following safeguards:

  • We transfer your information to countries that have been recognized by the European Commission as providing an adequate level of data protection.
  • We confirm that the service provider to which we are transferring data has an active self-certification under the EU-U.S. Data Privacy Framework, the UK Extension, and/or the Swiss-U.S. DPF.
  • We take steps to ensure that the recipient is bound by contractual obligations, including the EU Standard Contractual Clauses with addenda for the UK and/or Switzerland.

With respect to Voice Samples and Voiceprints transferred internationally, additional safeguards apply, including encryption in transit and at rest, contractual prohibitions on retention beyond the request lifecycle, and prohibitions on use for any purpose other than fulfilling your request.

10. Your EEA Privacy Rights

If you live in the EEA (or the United Kingdom or Switzerland, as applicable), the following terms apply to you.

Legal Basis for Processing

Whenever we collect personal information from you, we may do so on the bases described in Section 9 above.

Your Legal Rights

Under certain circumstances, you have rights under data protection laws concerning your personal data, including the right to:

  • Request access to your personal data;
  • Request correction of inaccurate or incomplete personal data;
  • Request erasure of your personal data;
  • Object to processing of your personal data;
  • Request restriction of processing your personal data;
  • Request the transfer of your personal data to you or a third party; and
  • Withdraw consent at any time where we are relying on consent to process your personal data. Withdrawal of consent will not affect the lawfulness of processing based on consent before its withdrawal. Withdrawal of consent for biometric data processing will result in deletion of all Voice Samples and Voiceprints associated with your account.

11. Your State Privacy Rights

State consumer privacy laws in the United States may provide their residents with additional rights regarding our use of their personal information. To exercise any of these rights, please send an email to [email protected].

Illinois Residents (BIPA). Illinois law (the Biometric Information Privacy Act, 740 ILCS 14) gives Illinois residents specific rights with respect to biometric identifiers and biometric information. We collect Voice Samples and Voiceprints only after providing you with written notice of (i) the fact that biometric data is being collected or stored; (ii) the specific purpose and length of term for which the data is being collected, stored, and used; and (iii) obtaining your written release. Our retention schedule and destruction practices are set forth in Section 13. We do not sell, lease, trade, or otherwise profit from your biometric data.

Texas Residents. Texas law (Capture or Use of Biometric Identifier Act, Tex. Bus. & Com. Code § 503.001) provides parallel rights to Texas residents.

Washington Residents. Washington's biometric privacy law (RCW 19.375) provides parallel rights to Washington residents.

California Residents. Voice Samples and Voiceprints constitute "sensitive personal information" under the CCPA/CPRA. California residents have the right to limit the use and disclosure of sensitive personal information to those purposes specified in this Privacy Policy. To exercise this or any other right under the CCPA/CPRA, email [email protected].

California's "Shine the Light" law (Civil Code § 1798.83) permits users of our Website that are California residents to request certain information regarding our disclosure of personal information to nonparties for their direct marketing purposes.

Some states like Colorado, Connecticut, Virginia, and Utah each provide their state residents with rights to confirm processing, access, delete, port, and opt out of targeted advertising and sales.

Nevada provides its residents with a limited right to opt-out of certain personal information sales. We do not currently sell data triggering that statute's opt-out requirements.

12. How We Protect Your Information

We use reasonable procedural, physical, and electronic safeguards to protect your information from unauthorized access or use. With respect to Voice Samples and Voiceprints, we maintain a written information security program that includes encryption in transit and at rest using industry-standard cryptographic methods, role-based access controls limiting access to authorized personnel with documented operational need, audit logging of all access to biometric data, segregated storage from other user data, and regular security assessments. These safeguards are designed to be at least as protective as those we apply to other categories of personal information.

The safety and security of your information also depends on you. Do not share your passwords, access credentials, or any secret information with anyone.

13. Information Storage and Retention

We retain personal information only for as long as necessary to provide the Services, fulfill our legal obligations, enforce our legal agreements, and resolve disputes. We apply the following retention practices:

General Retention Schedule

  • Billing, payment, and tax records: retained for seven (7) years following each transaction, or longer as required by applicable tax, accounting, or financial regulation.
  • Account profile data (name, email, username, preferences): retained for the duration of your account, then deleted within ninety (90) days following account closure, except where retention is required to comply with legal obligations.
  • Communications (support tickets, correspondence): retained for up to three (3) years from the date of communication, or longer if needed to resolve an ongoing matter or comply with legal obligations.
  • Prompts and transient API inputs (text, image, audio): not retained beyond the request lifecycle, except for transient error logs deleted within thirty (30) days.
  • Generated Outputs you save to your User Account: retained until you delete them or close your account.
  • Server and security logs: retained for up to ninety (90) days, except where retention is required for the duration of an active security investigation or legal hold, after which the logs will be deleted.

Voice Samples and Voiceprints — Why We Retain Them

The text-to-speech and voice cloning models we use require the source audio file (a Voice Sample) and/or the derived voice model (a Voiceprint) to remain accessible in order to synthesize new speech in your chosen voice. Deleting the underlying Voice Sample or Voiceprint means the corresponding voice can no longer be used to generate audio. Accordingly, so long as you choose to keep a voice in your voice library, we retain the associated Voice Sample and Voiceprint so that the voice cloning and text-to-speech features remain functional for you.

Voice Samples and Voiceprints — Retention Schedule

In compliance with the Illinois Biometric Information Privacy Act (740 ILCS 14/15(a)) and other applicable laws, we maintain the following written retention and destruction schedule for biometric data:

  • User-controlled retention. Voice Samples and Voiceprints are retained for as long as you choose to keep them in your voice library. You may delete any Voice Sample or Voiceprint at any time through your voice library settings.
  • Deletion on user request. Upon your deletion request or withdrawal of consent, the applicable Voice Sample and Voiceprint (and all backup and archive copies) are permanently deleted within thirty (30) days.
  • Deletion on consent expiration or revocation. If you notify us that the consent under which you uploaded a third-party Voice Sample has expired or been withdrawn, or if the person whose voice is involved contacts us directly to assert withdrawal of consent, we will permanently delete the affected Voice Sample and Voiceprint within thirty (30) days, including from all backup and archive copies.
  • Deletion on account closure. Upon termination or closure of your User Account for any reason, all Voice Samples and Voiceprints associated with the account are permanently deleted within thirty (30) days, except where we are required to retain specific records pursuant to legal process.
  • Inactivity safety valve. If your User Account is inactive for thirty-six (36) consecutive months — meaning no logins, API calls, or other authenticated activity associated with your account during that period — we will provide notice to your account email address and, if you do not reactivate the account or affirmatively confirm continued retention within thirty (30) days following such notice, we will permanently delete all Voice Samples and Voiceprints associated with your account.
  • Outer limit. In all cases, Voice Samples and Voiceprints are permanently deleted no later than the earlier of: (a) the date on which the initial purpose for collection has been satisfied; or (b) the date required by applicable law. We treat the user's continuing maintenance of a voice in the voice library as ongoing satisfaction of the initial purpose for retention.

Destruction is effected by cryptographic erasure of encryption keys protecting the data, followed by overwriting of underlying storage in accordance with industry standards. Logs of all biometric data destruction events are retained for audit purposes.

14. Age Restrictions and Minors

The Services may be used by Minors (individuals between 13 and 17 years of age) only under the supervision and consent of a parent or legal guardian who has read this Privacy Policy and our Terms of Service. Users under 13 may not access the Services under any circumstances. We do not knowingly collect or solicit personal information from children under 13. If we become aware that we have collected personal information from a child under 13, we will promptly delete such information.

Voice and Image Features — 18+ Only. Notwithstanding the foregoing, voice cloning, voice library, text-to-speech, and image generation features are available only to users who are at least 18 years of age. 15. Changes To This Privacy Policy

We are always improving our products and services, and we create new features regularly. These updates sometimes require us to collect new information or use what we already have differently. When we make a material change — for example, the introduction of a new category of data collection (such as biometric data) or a material expansion of our use of an existing category — we will provide notice to registered users at least thirty (30) days before the change takes effect, and we will obtain renewed consent before processing such data under the new terms.
